New York Sales Tax Audit Notice and What Business Owners Should Do

Практика:Corporate

Автор : Donghoo Sohn, Esq.

New York sales tax audit notices require business owners to check the audit period, requested records, and response deadlines before submitting documents.

Receiving an audit notice does not mean your business owes additional tax. The New York State Department of Taxation and Finance may examine sales tax returns, transaction records, and exemption certificates to verify compliance. How you organize and explain those records can affect the audit findings.

1. What to Do after Receiving a Sales Tax Audit Notice

Start by reviewing the notice for the audit period, the assigned auditor, and the documents requested. A desk audit generally takes place through correspondence, while a field audit may involve an examination of records at your business.

Confirm the Audit Schedule and Response Requirements

The department usually schedules field audits at least 15 days in advance. If you need more time to gather records, you can generally request an extension of up to 30 days. Longer delays require a written explanation.

Review the appointment details and confirm any extension with the auditor. The scheduled audit meeting and the deadline for responding to a particular document request may be different.

Preserve Records before Submitting Documents

Keep the original accounting entries, invoices, bank statements, and point-of-sale (POS) records. If you identify bookkeeping errors, document the corrections without deleting the original data.

Before providing records:

  • Confirm the audit period and requested documents.
  • Preserve POS transaction data and sales invoices.
  • Compare filed returns with accounting records.
  • Identify missing documents or unexplained deposits.
  • Clarify the submission method and any extension.

These steps help you identify discrepancies before the auditor relies on incomplete information.

2. Records Required during a New York Sales Tax Audit

Under Tax Law §1135, vendors must maintain records sufficient to establish their sales and use tax liabilities. Auditors may compare reported sales against transaction histories, bank deposits, purchase records, and supporting invoices.

Sales Records and Exemption Documentation

The records needed depend on your business activities and the transactions under review.

RecordAudit Purpose
Sales tax returnsVerify reported taxable receipts
POS data and invoicesExamine individual sales
Bank statementsReconcile deposits with recorded revenue
Purchase invoicesReview purchases and potential use tax
Exemption certificatesSupport claimed exempt transactions
General ledgersIdentify accounting discrepancies

Businesses generally must retain sales tax records for at least three years after the related return's due date or filing date, whichever is later. Records involved in an ongoing audit or proceeding may need to be kept longer.

Electronic records must remain accessible in a format the department can examine. Daily summaries alone may be insufficient if they do not establish the tax treatment of individual sales.

When Auditors May Estimate Additional Tax

Tax Law §1138(a)(1) permits estimated assessments when returns are missing, incorrect, or insufficient and the available information cannot establish the tax due. For sales tax audits, the adequacy of the business's records is central to whether an estimate is justified.

Auditors may use purchase data, inventory, test periods, or other external indicators when appropriate. However, when complete and adequate records are available, the department generally must rely on a detailed examination unless the taxpayer consents to an alternative audit method.

3. How Reporting Discrepancies Affect Audit Findings

Differences between bank deposits, recorded receipts, and filed sales tax returns often prompt further examination. Before treating a difference as unreported taxable sales, the underlying transactions must be identified.

Distinguishing Taxable Sales from Other Deposits

Bank deposits may include loans, owner contributions, or transfers between accounts. Supporting bank and accounting records can show why those amounts should not be counted as sales.

Refunds, canceled transactions, and exempt sales can also explain reporting differences. For claimed exemptions, the business should provide appropriate certificates or other evidence supporting the applicable tax treatment.

Additional Tax, Interest, and Penalties

An audit may end without changes, produce an additional assessment, or identify an overpayment. When the department finds unpaid tax, statutory interest generally applies, and penalties may increase the liability.

Tax Law §1145 allows relief from certain penalties when the applicable reasonable-cause requirements are satisfied. The business must support its explanation with relevant facts and documentation. Penalty relief does not ordinarily eliminate the underlying tax or standard underpayment interest.

If the findings suggest deliberate falsification or tax evasion, the matter may extend beyond routine civil adjustments. Such circumstances can raise separate concerns involving government investigations.

Before accepting an adjustment, review the auditor's calculations, supporting workpapers, and treatment of disputed transactions. Errors in the taxable sales figure or audit methodology may materially affect the proposed assessment.

Responding to Proposed Audit Changes

The department generally provides a Statement of Proposed Audit Changes or a similar document explaining its findings.

If you disagree, identify the disputed adjustments and provide supporting records. Sales invoices, exemption certificates, and bank reconciliations may establish why particular transactions should receive different treatment.

You may also request further discussion with the auditor or supervisor. The department may revise its findings after considering additional information.

Challenging a Notice of Determination

If the disagreement remains unresolved, the department may issue a Notice of Determination. Taxpayers generally have 90 days from the date the notice is issued to request a conciliation conference through the Bureau of Conciliation and Mediation Services or file a petition with the Division of Tax Appeals.

The notice and applicable procedural rules control the deadline. Discussing proposed changes with an auditor does not replace a timely formal protest.

Keep copies of the determination, supporting documents, and proof that the protest was submitted on time.

5. Frequently Asked Questions about Sales Tax Audits

Can New York Audit Sales Tax Returns Older Than Three Years?

Yes, in certain circumstances. Tax Law §1147(b) generally imposes a three-year assessment limitation after a return is filed, but exceptions include missing returns, fraudulent returns filed with intent to evade tax, and applicable written extensions.

Can a Business Continue Operating During a Sales Tax Audit?

Generally, yes. An audit notice does not itself suspend business operations. The business must continue meeting its tax obligations, although separate enforcement action affecting its Certificate of Authority may restrict operations.
